Terms of Service
These Terms govern access to Skuens websites, applications, APIs, AI features, connected-platform tools, and related services. By creating an account, purchasing, or using the service, you agree to these Terms.
1. Contracting party and authority
“Skuens”, “Skuens”, “we”, “us”, and “our” refer to the Skuens service and the contracting entity identified on your order form, checkout record, or invoice. If you use Skuens for an organisation, you represent that you have authority to bind that organisation. You must be at least 18 years old or the age of legal majority where you live.
2. The service
Skuens provides AI-assisted business analysis, creative generation, advertising strategy, campaign workflow, connected-platform operations, reporting, and optimisation tools. Features may vary by plan, region, provider availability, and connected account permissions. We may improve, replace, suspend, or discontinue features, provided that we will not materially reduce a paid service during a committed term without an appropriate remedy where required by law.
3. AI output and human review
AI-generated or automated output can be incomplete, inaccurate, unavailable, biased, or unsuitable. It is not legal, financial, tax, medical, or professional advice. You are responsible for reviewing and approving copy, images, video, targeting, claims, budgets, bids, settings, and campaign actions before use. Skuens does not guarantee approval by any advertising platform, campaign performance, revenue, return on ad spend, or any particular business result.
4. Accounts and security
You must provide accurate information, keep credentials confidential, maintain appropriate user permissions, and promptly notify us of suspected unauthorised access. You are responsible for activity under your account unless caused by our breach. We may require identity, ownership, billing, or security verification.
5. Connected services and advertising spend
When you connect Meta, Google, TikTok, or another service, you authorise Skuens to access and perform the actions you request within the permissions granted. Third-party services are governed by their own terms and may change, reject, pause, or remove campaigns independently. Advertising spend, taxes, platform fees, chargebacks, policy violations, and obligations owed to third parties remain your responsibility unless an order form expressly states otherwise.
6. Fees, subscriptions, credits, and taxes
Prices, included usage, renewal terms, and plan limits are shown at checkout or in an order form. You authorise the applicable payment provider to charge amounts due. Unless stated otherwise, subscriptions renew automatically until cancelled before the next renewal date. Usage credits are a limited contractual right to consume eligible Skuens services; they are not cash, stored value, or transferable currency and have no cash redemption value.
You are responsible for applicable taxes except taxes based on our net income. We may suspend paid features for overdue amounts after reasonable notice. Promotional, bonus, trial, or complimentary credits may expire according to the offer.
7. Cancellation and refunds
You may cancel a renewing subscription through the available billing controls or by contacting support. Cancellation normally takes effect at the end of the current paid period. Except where required by law or expressly stated at purchase, fees, consumed usage, and issued credits are non-refundable. Duplicate charges, verified billing errors, and failed service delivery will be reviewed promptly. Statutory consumer cancellation and refund rights remain unaffected.
8. Acceptable use
You must not use Skuens to break the law; infringe intellectual-property, privacy, publicity, or other rights; create deceptive, discriminatory, exploitative, hateful, sexually abusive, or malicious content; target protected or vulnerable groups unlawfully; distribute malware; bypass security or usage limits; scrape or probe systems without authorisation; resell access without written permission; generate spam; misrepresent identity or affiliation; manipulate metrics; or violate a connected platform's policies.
You must have the necessary rights, notices, permissions, and lawful basis for all customer data, audiences, files, websites, credentials, and instructions supplied to Skuens. High-risk or regulated advertising requires appropriate professional and legal review.
9. Your content and instructions
You retain ownership of content and data you submit. You grant us a worldwide, non-exclusive, limited licence to host, copy, transform, transmit, and process that content only as needed to provide, secure, support, and improve the service, comply with law, and enforce these Terms. You are responsible for the legality, accuracy, and permissions associated with your content and instructions.
10. Output rights
As between you and Skuens, and subject to payment, applicable law, provider terms, and third-party rights, you may use output generated specifically for you. Similar or identical output may be generated for others, and purely AI-generated material may not qualify for intellectual-property protection in some jurisdictions. You must review output for third-party trademarks, copyrighted material, likenesses, factual claims, and required disclosures before use.
11. Our intellectual property
Skuens and its licensors retain all rights in the software, models, workflows, prompts, interfaces, documentation, designs, trademarks, and technology, excluding your content. Except as permitted by law, you may not reverse engineer, copy, frame, modify, distribute, create competing derivatives from, or attempt to extract source code, model weights, system prompts, or non-public data from the service.
12. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform the agreement and protect it with reasonable care. Confidentiality does not cover information independently developed, lawfully received without restriction, or public through no breach. Required disclosures may be made after notice where legally permitted.
13. Beta and experimental features
Preview, beta, experimental, or free features may be changed or withdrawn at any time and are provided without service-level commitments. Do not rely on them for critical operations, regulated decisions, or irreversible spending.
14. Suspension and termination
We may limit or suspend access when reasonably necessary to prevent security threats, unlawful activity, material policy violations, harm to users or third parties, non-payment, provider restrictions, or service instability. Where practicable, we will provide notice and an opportunity to remedy. You may stop using the service at any time. Provisions that by nature should survive termination will survive, including payment, intellectual-property, confidentiality, disclaimers, liability, and dispute terms.
15. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not control third-party platforms, internet services, model providers, or user-provided data. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
16. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, data, advertising spend, or business opportunities, even if advised of the possibility. Our aggregate liability arising from the service will not exceed the greater of the amount you paid to Skuens for the service during the 12 months before the event giving rise to the claim or USD 100. These limits do not apply where liability cannot legally be limited.
17. Indemnity
To the extent permitted by law, you will defend and indemnify Skuens against third-party claims arising from your content, campaigns, targeting, connected accounts, violation of law or platform policy, infringement of rights, or material breach of these Terms. We will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on us without consent.
18. Governing law and disputes
The governing law and courts stated in an applicable order form or invoice control. If none is stated, the contracting entity's principal place of business determines the governing law and exclusive courts, without regard to conflict-of-law rules. Mandatory consumer protections and rights to bring claims in another forum remain unaffected. Before filing a formal claim, each party agrees to attempt good-faith resolution for at least 30 days after written notice.
19. Changes
We may update these Terms to reflect legal, security, provider, or product changes. Material changes will be notified where required and will apply prospectively. Continued use after the effective date constitutes acceptance, except where law requires explicit consent.
20. General
These Terms, the Privacy Policy, an applicable order form, and referenced policies form the entire agreement for the service. An order form controls over conflicting online Terms for that order. You may not assign the agreement without consent, except in connection with a permitted corporate transaction. We may assign it to an affiliate or successor. Failure to enforce a term is not a waiver. Invalid provisions will be limited to the minimum extent necessary. Electronic notices and signatures are valid.
